O divórcio é um momento difícil e desafiador na vida de um casal. Além das questões emocionais envolvidas, é necessário lidar com a divisão dos bens adquiridos ao longo do matrimônio. Nesse contexto, surge uma dúvida comum: a empresa do casal entra na partilha? Vamos esclarecer esse tema de forma clara e acessível.

1. Quando a empresa entra na divisão de bens?

Sem dúvidas, a empresa é um bem com valor econômico e, portanto, pode entrar na partilha na hora do divórcio. O que define se a empresa vai ou não entrar na partilha é o regime de bens escolhido pelo casal antes do casamento.

2. Partilha na Comunhão Parcial de Bens:

Abordando de maneira geral o regime da comunhão parcial de bens, que é o mais comum no Brasil, podemos citar basicamente duas possíveis situações:

  • Se a empresa foi aberta ou o início da participação nela se deu DURANTE o casamento, ela será dividida.
  • Se a empresa foi aberta ou a participação nela se iniciou ANTES do casamento, em regra, ela não entra na partilha.

No entanto, há uma exceção importante. Se a empresa teve um crescimento notório devido a reformas ou melhorias realizadas durante o matrimônio, haverá a presunção de esforço comum. Isso significa que a empresa será incluída na partilha, independentemente de quem arcou com essas melhorias.

Atenção! Vale ressaltar que os Tribunais já pacificaram o entendimento de que a simples valorização das cotas ou ações empresariais não faz com que a empresa adquirida antes do casamento entre na partilha, ok? Além disso, se ficar caracterizada a confusão patrimonial, onde os bens e gastos da empresa se misturam com os bens particulares dos proprietários, mesmo que a empresa tenha sido aberta antes do casamento, ela pode ser incluída na partilha.

3. Como acontece a partilha?

A forma de partilhar a empresa no divórcio dependerá do tipo de empresa em que você é dono ou sócio. Vamos abordar separadamente três situações comuns:

i. Empresário individual:

Se você é um Microempreendedor Individual (MEI), por exemplo, saiba que sua empresa acaba se confundindo com a sua pessoa. Desta forma, os bens e equipamentos adquiridos para o exercício da atividade serão considerados comuns do casal e a partilha será apurada apenas em relação ao patrimônio da empresa.

Aqui será necessário listar os bens adquiridos para a empresa e apurar seu respectivo valor, a fim de encontrar o montante a ser partilhado ou indenizado ao outro cônjuge.

ii. Empresa Individual (EIRELI):

Ao contrário do empresário individual, aqui é necessário apurar o valor de mercado da empresa. Isso é feito levantando os ativos (bens, créditos, dinheiro, etc.) e passivos (dívidas, despesas, obrigações, etc.) da empresa.

Na separação, você não é obrigado a transformar a empresa em uma sociedade e partilhá-la com seu cônjuge. Apurado o valor de mercado, será devida uma indenização correspondente à metade desse valor ao outro cônjuge.

iii. Sociedades (Limitada ou Sociedade Anônima):

Assim como na empresa individual, não é necessário incluir o ex-cônjuge na sociedade nem partilhar literalmente o número de quotas ou ações. A partilha levará em consideração o valor de mercado da sua participação na sociedade, e o cônjuge empresário deverá indenizar o outro.

4. Como é feito o pagamento/indenização?

No caso do empresário individual, o pagamento da parte do cônjuge pode ser feito tanto através da divisão física dos bens da empresa quanto por meio de compensação financeira. Ou seja, quem ficar com o bem indenizará o outro no respectivo montante equivalente à sua parte.

Quanto às demais espécies empresariais, em geral, não é possível obrigar o cônjuge a ingressar na sociedade empresarial. Nesse caso, o cônjuge terá direito à metade do valor financeiro das respectivas cotas ou ações e o pagamento pode ser efetuado em dinheiro ou por meio de compensação financeira através da partilha dos lucros da empresa até que se complete o montante da meação do outro cônjuge.

Atenção! É importante observar que, na apuração de haveres, se for constatada uma avaliação negativa do valor de mercado, os prejuízos também deverão ser partilhados entre os cônjuges, já que tanto os passivos quanto os ativos entrarão na partilha de bens do casal.

Conclusão:

A divisão de bens em um divórcio pode ser complexa, especialmente quando há uma empresa envolvida. No entanto, compreender as regras de partilha de acordo com o regime de bens escolhido e o tipo de empresa pode ajudar a tomar decisões mais conscientes.
